What a Confirmation Statement actually does
It's not a financial filing. It confirms the company's standing information at Companies House is still correct:
- Registered office address.
- Officers (directors and any company secretary).
- Shareholders and shares held.
- People with Significant Control (PSCs).
- SIC codes (the standard industrial classification of your business activities).
- Confirmation that no changes have happened that haven't already been notified.
Step-by-step filing
- Sign in to your Companies House WebFiling account at find-and-update.company-information.service.gov.uk.
- Select your company.
- Choose "File a Confirmation Statement (CS01)".
- Review each section: officers, shareholders, PSC, SIC codes, registered office.
- Update anything that's changed (some changes need separate filings - the system flags which).
- Pay the £34 fee online.
- Submit. Confirmation arrives by email.
Common mistakes
- Filing once and assuming it's sorted. CS is annual - missing the second year is the most common error.
- SIC codes never updated from the original incorporation. If your business has pivoted, update them.
- PSC information out of date - if shareholders changed during the year, the PSC register needs updating before you confirm.
- Registered office address change: separate filing (form AD01), not part of CS.
- Officer change: separate filings (AP01/AP02 for new, TM01/TM02 for resignations), filed when the change happens, not bundled into CS.

What's the deadline?+
Annually, on the anniversary of incorporation (or the previous CS date), with a 14-day grace period. So a company incorporated on 15 March must file CS by 28 March each year.
Can I be late?+
Companies House charges no specific late filing penalty for the CS itself, but persistent failure to file leads to strike-off proceedings. They send formal warning letters first, but strike-off can still happen.
Does my accountant file this?+
Most accountants file CS as part of their annual service (the £34 fee is usually passed through). Some bundle it free; some charge a small fee. Check your engagement letter.
